Terms of Service

These Terms of Service ("Terms") govern your access to and use of Folio, an AI-powered financial workspace operated by InsuraWealth, Inc. ("InsuraWealth," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using the Folio platform, including all associated websites, applications, and services (collectively, the "Service"), you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are using the Service on behalf of another person or entity, you represent that you have authority to accept these Terms on their behalf.

2. Description of Service

Folio is an AI-powered financial workspace that connects you with your financial advisor. The Service provides tools for viewing and managing your financial information, communicating with your advisor, sharing documents, and accessing AI-assisted insights about your financial data.

Important Disclosure

Folio is a technology platform and does not provide investment advice, tax advice, legal advice, or any other form of professional financial advice. InsuraWealth is not a registered investment advisor, broker-dealer, or financial planner. The Service is a tool that facilitates your relationship with your financial advisor, but it does not replace the professional judgment, expertise, or fiduciary duty of your advisor. Always consult your advisor directly for financial decisions.

3. User Accounts and Responsibilities

3.1 Account Creation

Your account is created at the invitation of your financial advisor. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3.2 Your Advisor's Access

By using the Service, you acknowledge and agree that the advisor(s) who manage your account will have access to your financial data, documents, and communications within the Service. This access is necessary to facilitate your advisory relationship and is consistent with the terms of your advisory agreement with your advisor.

3.3 Prohibited Conduct

You agree not to: use the Service for any unlawful purpose; upload malicious code or attempt to gain unauthorized access to the Service; impersonate another person or entity; interfere with or disrupt the Service or its infrastructure; use the Service to transmit unsolicited communications; reverse engineer, decompile, or disassemble any part of the Service; or use the Service in a manner that violates any applicable law or regulation.

4. AI-Generated Content Disclaimer

Folio uses artificial intelligence models provided by third parties (including Anthropic and OpenAI) to analyze financial data, generate summaries, and produce insights. All AI-generated content is provided "as is" for informational purposes only.

  • AI-generated content does not constitute investment advice, tax advice, legal advice, or any other form of professional advice.
  • AI outputs may contain errors, inaccuracies, omissions, or hallucinated information. Do not rely solely on AI-generated content for financial decisions.
  • Always consult with your financial advisor before making investment decisions, tax elections, or other financial choices based on information presented in the Service.
  • InsuraWealth does not guarantee the accuracy, completeness, timeliness, or reliability of any AI-generated content.
  • Past performance data processed by AI does not guarantee future results.

5. Your Financial Advisor

The Service is designed to facilitate your relationship with your financial advisor. Please understand the following:

  • InsuraWealth is not your financial advisor and does not provide investment advice or recommendations.
  • Your advisory relationship is governed by the advisory agreement between you and your advisor, not by these Terms.
  • Your advisor is independently responsible for their regulatory compliance, fiduciary duties, and the suitability of any advice they provide.
  • Questions about your financial plan, investments, or advisor's recommendations should be directed to your advisor, not to InsuraWealth.
  • If you have concerns about your advisor's conduct, you may contact the SEC, FINRA, or your state securities regulator.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its software, design, logos, trademarks, documentation, and all related intellectual property, is owned by InsuraWealth or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

6.2 Your Content

You retain ownership of all data and content you upload to the Service ("Your Content"). By uploading Your Content, you grant InsuraWealth a limited license to use, process, store, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when Your Content is deleted from the Service, subject to regulatory retention requirements and reasonable backup periods.

7. Limitation of Liability

To the maximum extent permitted by applicable law, InsuraWealth and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, whether based on contract, tort, strict liability, or any other legal theory.

InsuraWealth is not liable for any investment losses, tax penalties, or other financial damages resulting from decisions made using information generated by the Service, including AI-generated content. All financial decisions should be made in consultation with your financial advisor.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Fees

Your access to the Service may be provided through your advisor's subscription at no direct cost to you, or you may be charged for certain premium features. If you are charged directly, payments are processed through Stripe. By subscribing, you authorize Stripe to charge your designated payment method. You are responsible for maintaining valid payment information and paying all applicable fees.

You may cancel any paid subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including but not limited to breach of these Terms, at the request of your advisor, or at the request of a regulatory authority. You may terminate your account at any time by contacting us at support@insurawealth.com.

Upon termination, your right to use the Service ceases immediately. We may retain your data as required by applicable law and regulatory retention requirements (see our Privacy Policy for details). Sections of these Terms that by their nature should survive termination will survive, including Sections 4, 6, 7, 10, and 11.

10. Indemnification

You agree to indemnify, defend, and hold harmless InsuraWealth and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your violation of these Terms; your violation of any applicable law or regulation; or your Content.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in English and the seat of arbitration shall be in Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

12. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and InsuraWealth regarding the Service.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Notices: We may provide notices to you by email to the address associated with your account or by posting notices on the Service.
  • Force Majeure: InsuraWealth is not liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including natural disasters, pandemics, government actions, or disruptions to internet infrastructure.
